NottHeads Usage Agreement

By using NottHeads software, the NottHeads Network and/or this web site, you agree to be bound by this Agreement. This agreement applies to you, and if you are using NottHeads software, the NottHeads Network and/or this web site on your employer's behalf, to you and your employer. NottHeads reserves the right to change this Agreement from time to time at its sole discretion, and your use of the NottHeads software, the NottHeads Network and/or this web site will be subject to the most current version posted on the site at the time of your use. If you do not wish to be bound by this Agreement, do not accept this Agreement and do not use NottHeads software, the NottHeads Network, this web site and/or download or use any image, audio file, or video file.

Permitted Use of this Software, Network and/or this Site

NottHeads may immediately terminate all licenses granted to you without notice if you fail to comply with any provision of this agreement or with NottHeads' Terms and Conditions applicable to your use. If a license is terminated, you agree to immediately (i) stop using the NottHeads software, the NottHeads Network and/or this web site, (ii) delete all image, audio and video files downloaded from the NottHeads network, and (iii) delete all copies of the NottHeads software from all magnetic media and destroy all other copies, or at NottHeadss' request return all such copies to NottHeads. Your use of the NottHeads software, the NottHeads Network and/or this web site and any image, audio, or video file shall comply with all applicable law. NottHeads may restrict or remove your access to the NottHeads Network and/or this web site at any time, or restrict or remove the use of any image, audio or video file for any reason, and may replace the image, audio or video file with another image, audio or video file, and you agree to immediately discontinue all use of the image, audio, or video file upon notification from NottHeads.

Despite our efforts to provide accurate information, this site may contain technical or other mistakes, inaccuracies or typographical errors. Additionally, this site and any image, audio or video files may include historically and culturally important messages that may contain subjects that reflect the social attitudes and circumstances of a particular time or location. Listed Restrictions

Images may contain listed restrictions, including without limitation restrictions as to time, manner, industry and territory of use. Your ability to access an image, audio, or video file does not in itself entitle you to use that image, audio or video file. Use of any image, audio, or video file contrary to a listed restriction is prohibited. If you do not understand or are unsure as to any restriction, you must contact NottHeads prior to download or use of any image, audio or video file.

Unauthorized Use

Without limitation, image, audio or video files may not be used as a trademark or service mark, or for any pornographic use, unlawful purpose or use, or to defame any person, or to violate any person's right of privacy or publicity, or to infringe upon any copyright, trade name, trademark, or service mark of any person/entity.

Unauthorized use of these image, audio or video files constitutes copyright infringement and shall entitle NottHeads to exercise all rights and remedies under applicable copyright law, including an injunction preventing further use and monetary damages against all users and beneficiaries of the use of such image, audio or video files. Who Can Be a NottHeads Member?

NottHeads Membership is available to anyone who is at least 16 years of age or older who registers all required information (including an accurate, legitimate email address) and obtains a unique NottHeads Member Username and Password.

Children should always ask their parents or guardian for permission before sending personal information to NottHeads or to anyone else. We encourage parents to take an active role in their children's use of the NottHeads Network. No information should be submitted to, or posted by visitors under 16 years of age without the consent of their parent or guardian and NottHeads will not knowingly send direct mailings, including email or other correspondence to anyone under the age of 16.

What Happens if I Violate These Terms and Conditions?

Members who violate the Terms and Conditions may have their membership terminated, revoked, services cancelled and their image, audio or video files, or portions thereof, suspended, deleted or removed without warning. NottHeads will not return removed materials to a member. NottHeads is not responsible for any loss of data resulting from removal of member material.

NottHeads Trademarks

You may not use the trademarks or service marks of NottHeads without NottHeads' prior written consent. NottHeads and the NottHeads logo are registered trademarks of NottHeads Inc..

Indemnification

You agree to indemnify, defend, and hold harmless NottHeads against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses, arising out of or related to (1) a breach of this Agreement, (2) the use of this network and or website and the use of any image, audio or video file either alone or in combination with any other material, (3), your failure to abide by any restriction regarding the use of an image, audio or video file, or (4) any claim by a third party related to the use of an image, audio or video file, alone or in combination with any other material.

Disclaimers

NottHeads PROVIDES YOU WITH ITS NETWORK, WEBSITE, SOFTWARE AND IMAGE, AUDIO AND VIDEO FILES ON AN "AS IS" BASIS. NottHeads MAKES NO WARRANTY, EXPRESS OR IMPLIED REGARDING ANY IMAGE, AUDIO OR VIDEO FILE, ITS NETWORK ITS SITE, ITS SOFTWARE, THE ACCURACY OF ANY INFORMATION, OR ANY RIGHTS OR LICENSES UNDER THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, OR THAT THE NETWORK, THE SITE, THE SOFTWARE OR ANY SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Jurisdiction

This agreement is governed by the laws of State of Georgia, and United States of America.

In any dispute between NottHeads and you, NottHeads shall be entitled to recover its reasonable attorneys' fees, legal expert fees, and other legal expenses from you.

No Waiver / Severability

No action of NottHeads, other than an express written Waiver or Amendment, may be construed as a waiver or amendment of this Terms and Conditions Agreement. Should any clause of this Agreement be found unenforceable, wherever possible this will not affect any other clause and each will remain in full force and effect.

Miscellaneous

You acknowledge that you have read this Agreement and understand it, and agree to be bound by all its terms and conditions. This document constitutes the entire agreement between the parties with respect to the subject matter hereof and merges all prior and contemporaneous communications. This Agreement shall not be modified except by a written agreement signed by duly authorized representatives of NottHeads, provided that no purchase order or similar document issued by you shall modify this Agreement even if signed by NottHeads. If any provision of this Agreement is found invalid or unenforceable, the remainder of this Agreement shall remain valid and enforceable according to its terms. The parties intend that the provisions of this Agreement be enforced to the fullest extent permitted by applicable law. Accordingly, the parties agree that if any provisions are deemed not enforceable, they shall be deemed modified to the extent necessary to make them enforceable and in such manner as comes closest to the intentions of the parties to this Agreement as is possible. This Agreement will inure to the benefit of and be binding upon the parties, their successors and assigns, except that you may not assign or transfer this Agreement without NottHeads' prior written consent.

Your personal information is protected. We will not share or sell your information at any time for any reason whatsoever. Straightforward unsubscribe options are included in every mailing you receive if you have agreed to receive mailings.

Privacy Policy

At NottHeads Inc., we understand and respect your concern about the privacy of any information you as a user (community member) supply while using NottHeads', NottHeads Software, NottHeads Network and/or visiting our NottHeads Web Site (Site) and/or visiting our NottHeads Web Site (Site).

We believe that knowledge is the key to monitoring and protecting how your information is used on the Internet. This statement sets forth H2ST's Privacy Policy and describes the practice NottHeads follows with respect to all visitors, guests, and registered community members of NottHeads' NottHeads Software, NottHeads Network and/or Sites.

Personal Information

NottHeads collects certain personal information from our registered community members. Guests are required to provide certain personal information in order to access media files, and registered community members must provide certain contact and account information in order to access, purchase and download media files.

NottHeads may use certain account information of authorized community members to conduct credit inquiries. NottHeads uses this information for internal purposes only to process your order and any invoices, to maintain or update your NottHeads account with NottHeads, or to send you updates about special offers, new services, special promotions, and noteworthy news and events.

Community member profile information in the registration form is used by NottHeads to create personalized content, services, and advertising on the NottHeads & NottHeads Sites, the NottHeads Network and within NottHeads Software.

NottHeads may also profile your Network and/or Site activity in order to accurately track your account and provide you with NottHeads products and services that correspond to your interests. NottHeads may also compile data in aggregate form so that we may better understand the individuals that are visiting the NottHeads Network and/or Sites. For example, we may produce reports on the most popular search terms by collecting general search term data based on individual searches. Aggregate data is anonymous and does not contain any personal information that would identify a community member.

Information Distribution

NottHeads will never share, rent or sell your information to any third party for any reason. Any personal information you provide while using NottHeads Software, the NottHeads Network or while visiting our Sites will only be used internally by NottHeads.

Although unlikely, NottHeads may be required by law enforcement or judicial authorities to provide personal information to the appropriate government authorities. If requested by law enforcement or judicial authorities, we will provide this information upon receipt of the appropriate request documentation.

What choices are available to you regarding collection, use and distribution of the information?

NottHeads offers you the ability to control the email communications we make to you. It is our intention to give you as much control over our relationship as possible. It is your choice to share your personal information with NottHeads and we encourage you to consider only sharing information if you receive true value in exchange for that information transfer and if you respect the privacy practices of the firm. NottHeads will always give you a chance to unsubscribe to any email communication from us - clear directions for doing so will appear in any email message we send to you.

At times, NottHeads may enter into co-branding arrangements with other companies. If so, an opt-in question may be presented for contact from these firms. Their opt-out features are specific to each organization, but you should never receive email from these organizations unless you have indicated that it is acceptable. All email from co-branded partners who have gained your permission to send you commercial email, will include an opportunity to opt out of future communications.

NottHeads reserves the right to send a one-time registration confirmation email, and infrequent Service Status messages to its community members to inform them of specific changes that may impact their ability to use a service they have previously signed up for, regardless of email contact opt-in status. An example of a Service Status message would be notification of the impending closure of an account believed to be abandoned and/or out of use.

Finally, NottHeads reserves the right to contact you if compelled to do so as part of a legal proceeding or if there has been a violation of our Terms & Conditions Agreement. NottHeads is retaining these rights because in limited cases we feel that we may need the right to contact you as a matter of law or regarding matters, which will be important to you.

These rights do not allow us to contact you to market a new or existing service if you have asked us not to do so, and issuance of these types of communications are rare.

What security procedures are in place to protect against the loss, misuse, or alteration of information under the company's control?

NottHeads operates secure data networks protected by industry standard firewall and password protection systems. Our security and privacy policies are periodically reviewed and enhanced as necessary, and only NottHeads authorized personnel have access to the information provided by our community members. Any particularly sensitive information, such as a customer's credit card number collected for a commerce transaction, is encrypted prior to transmission.

You the consumer are ultimately responsible for the security of your NottHeads Member Name and Password. Please take care to store your NottHeads Member Name separately from your account password, or better yet, choose a password that you don't need to write down at all.

Cookies

When you visit the NottHeads Network, a cookie may be sent to your computer, which is a small file that resides on your computer's hard drive and contains non-personally identifiable information about the user. Cookies only identify the user's computer. Cookies allow NottHeads to make its Sites more useful by storing information about community member preferences.

Additionally, NottHeads Sites may use clear GIFs, or pixel tags, provided by our adserving company to help manage our online advertising. These clear GIFs provide our adserving company with the ability to recognize a browser's cookie when a browser visits our Sites. This allows us to learn which banner ads brings people to our Sites. The information we collect and share through this technology is not personally identifiable (it does not include your name, address, telephone number, or email address).

Email

NottHeads does not rent or sell email lists. NottHeads may send email to a community member to notify them about a recent order; this will be sent to the email address you provide to NottHeads.

Surveys and Contests

Participation in surveys or contests within the NottHeads Software, the NottHeads Network or the NottHeads & NottHeads Sites is completely voluntary and the community member therefore has a choice whether or not to disclose personal information.

Information requested may include contact information (such as name and shipping address), and demographic information (such as age, gender, zip code). Contact information will be used to notify the winners and award prizes. Survey information will be used for the purposes of monitoring or improving the use of the NottHeads Software, the NottHeads Network or the NottHeads & NottHeads Sites.

Links Please be aware that the NottHeads & NottHeads Sites or the NottHeads Network may contain links to other sites that are covered by their own privacy policies. NottHeads is not responsible for the privacy practices of other such sites and we encourage our community members to be aware when they leave our Sites.
